General Terms & Conditions – Easyfresh Nederland

These General Terms and Conditions (“Conditions”) apply to all offers, quotations, agreements, and services provided by Easyfresh Nederland (“we”, “us”, “our”), including but not limited to logistics, freight forwarding, warehousing, and transport services.
Any terms and conditions of the other party are expressly rejected unless explicitly agreed otherwise in writing.
Applicable Conditions & Conventions
Depending on the nature of the services provided, the following conditions apply:
- All our warehouse activities are subject to the NEKOVRI Conditions (General Storage Conditions of the Association of Dutch Cold-Storage and Freezing Warehouses, 2022).
- All domestic road transport activities as carrier are subject to the AVC Conditions.
(for Dutch version – see https://www.sva.nl/avc) - All international road transport activities as carrier are subject to the CMR Convention
(Convention on the Contract for the International Carriage of Goods by Road, 1956, as amended by the 1978 and 2008 Protocols), supplemented, where applicable, by any relevant transport document conditions. - Sea transport: Bill of Lading conditions (as issued by the performing carrier)
- Air transport: Montreal Convention (1999, as amended) and air waybill conditions.
- Rail transport: CIM (COTIF) conditions
If more than one set of conditions may apply, we exclusively determine which conditions apply.
Role and Capacity
We may act as carrier, freight forwarder, logistics provider, or in any other capacity.
In case of any dispute or ambiguity regarding our role, we exclusively determine the capacity in which we act or have acted.
Liability
Our liability is limited in accordance with the applicable conventions and conditions as mentioned above.
Where no mandatory law or convention applies:
Liability is limited to the invoice value of the relevant service
We are not liable for indirect or consequential damages, including loss of profit, loss of market, or delay damages
Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to:
- Natural disasters
- Strikes or labour disputes
- Government actions or restrictions
- War, geopolitical instability, or sanctions
- Transport or supply chain disruptions
Governing Law and Jurisdiction
All agreements and legal relationships are governed by Dutch law.
Any disputes shall be submitted to the competent court in the Netherlands.
